FirstRand exits the UK market – Innovation Village

In a major strategic shift, South African banking giant FirstRand is officially preparing to exit the United Kingdom to refocus its capital and management resources on its home market and the broader African continent. As detailed in the bank’s audited annual results for the year ended 30 June 2026, the entire Aldermore Group, which includes Aldermore Bank and MotoNovo Finance, has been classified as a discontinued operation and a disposal group held for sale under IFRS 5 accounting rules.

FirstRand has initiated a formal sale process, aiming for completion within 12 months. Potential bidders currently have access to a confidential information memorandum and a virtual data room. Non-binding offers are expected by the end of September 2026, with final binding offers due by the end of December following due diligence.

Regulatory Headwinds and the Cost of Exit

The primary catalyst for this exit is the increasingly volatile regulatory environment in the UK consumer finance sector. FirstRand cited “untenable look-back risk” largely driven by the UK Financial Conduct Authority’s (FCA) ongoing review into historical motor finance commission arrangements. Management concluded that further capital deployment in the UK would no longer meet the group’s hurdle rates or risk appetite.

The financial toll of the UK regulatory uncertainty heavily impacted the discontinued operations, resulting in a net loss of R2.655 billion attributable to ordinary equityholders. Key financial impacts of the exit include:
